Terms of Service

1. Acceptance of Terms

Welcome to AlignWithMe. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and AlignWithMe, Inc. ("AlignWithMe," "Company," "we," "us," or "our") governing your access to and use of the AlignWithMe web application located at alignwithme.com (the "Service").

By accessing, browsing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and your agreement to these Terms will be treated as the agreement of such organization.

2. Eligibility

To use the Service, you must:

• Be at least 16 years of age;
• Have the legal capacity to enter into a binding contract;
• Not be prohibited from using the Service under applicable laws;
• Complete the registration process accurately and honestly.

The Service is intended for business professionals and is not directed to individuals under the age of 16. If you are under 16, you may not use the Service.

3. Account Registration

3.1 Account Creation

To access certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information;
• Maintain and promptly update your account information;
• Maintain the security and confidentiality of your login credentials;
• Notify us immediately of any unauthorized access to your account;
• Accept responsibility for all activities that occur under your account.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. AlignWithMe will not be liable for any loss or damage arising from your failure to protect your account information. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

4. Description of Service

AlignWithMe is a collaborative team workspace platform that provides AI-powered insights to help teams work together more effectively. The Service includes:

• Personal User Guide: AI-generated profiles that help team members understand each other's work styles, communication preferences, and collaboration approaches.
• Voice Interviews: Interactive voice-based assessments to gather insights about your work preferences and personality.
• Calendar Integration: Optional integration with Google Calendar and Microsoft Outlook to provide meeting preparation insights.
• Team Insights: Relationship analysis and collaboration recommendations for team members.
• Meeting Preparation: AI-generated preparation materials based on attendee profiles and meeting context.
• Company Culture Profiles: AI-generated company culture summaries (the "Culture Profiles" feature) synthesized from publicly available sources, including company websites, press coverage, and public employee review sites. These profiles are described further in Section 11.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

5. User Content

5.1 Your Content

"User Content" means any information, data, text, audio recordings, or other materials that you submit, upload, or provide to the Service, including but not limited to assessment responses, interview recordings and transcripts, profile information, and feedback.

5.2 License Grant

By submitting User Content, you grant AlignWithMe a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, process, adapt, modify, and display your User Content solely for the purpose of providing, improving, and developing the Service.

5.3 Content Representations

You represent and warrant that:

• You own or have the necessary rights to submit your User Content;
• Your User Content does not infringe upon the intellectual property rights, privacy rights, or other rights of any third party;
• Your User Content does not contain any unlawful, defamatory, or harmful material;
• Your User Content is accurate and not misleading.

6. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights;
• Upload or transmit viruses, malware, or other malicious code;
• Interfere with or disrupt the Service or servers connected to the Service;
• Attempt to gain unauthorized access to any part of the Service or other accounts;
• Use the Service for any fraudulent or deceptive purpose;
• Harass, abuse, or harm another person or entity;
• Impersonate any person or entity or misrepresent your affiliation;
• Collect or store personal data about other users without their consent;
• Use automated means to access the Service without our express permission;
• Reverse engineer, decompile, or disassemble any portion of the Service;
• Remove or modify any proprietary notices or labels on the Service.

Violation of this Acceptable Use Policy may result in immediate termination of your account and access to the Service.

7. Intellectual Property

7.1 AlignWithMe Property

The Service, including all content, features, functionality, software, text, graphics, logos, and trademarks, is owned by AlignWithMe or its licensors and is protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service except for the limited license to use the Service as set forth herein.

7.2 Limited License

Subject to your compliance with these Terms, AlignWithMe grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant AlignWithMe a perpetual, irrevocable, worldwide, royalty-free license to use, copy, modify, and incorporate such Feedback into the Service without any obligation to you.

8. Third-Party Integrations

The Service may integrate with or allow you to connect to third-party services, including but not limited to:

• Google Calendar and Google Workspace
• Microsoft Outlook and Microsoft 365
• Single Sign-On (SSO) providers

Your use of any third-party service is subject to that third party's terms and privacy policy. AlignWithMe is not responsible for the practices of any third-party service. By connecting a third-party service, you authorize AlignWithMe to access and use information from that service in accordance with our Privacy Policy.

You may disconnect third-party integrations at any time through your account settings or the third party's permission settings.

9. Payment Terms

9.1 Subscription Plans

AlignWithMe offers various subscription plans with different features and pricing. Current pricing and plan details are available on our website. We reserve the right to change pricing at any time, with notice provided to existing subscribers before their next billing cycle.

9.2 Billing

Payment is processed through our third-party payment processor, Stripe. By providing payment information, you authorize us to charge your payment method for all fees associated with your subscription. Subscriptions automatically renew unless cancelled before the renewal date.

9.3 Refunds

Subscription fees are generally non-refundable. However, if you are dissatisfied with the Service, you may contact us within 14 days of your initial purchase to request a refund. Refund requests will be evaluated on a case-by-case basis.

9.4 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period. No refund will be issued for the remaining period.

10. Termination

10.1 Termination by You

You may terminate your account at any time by contacting us at support@alignwithme.com or through the account deletion feature in your settings.

10.2 Termination by AlignWithMe

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms;
• Violation of the Acceptable Use Policy;
• Fraudulent or illegal activity;
• Non-payment of fees;
• Extended period of inactivity;
• Request by law enforcement or government agency.

10.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your User Content and account information in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, limitations of liability, and dispute resolution provisions.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ALIGNWITHME, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your access to or use of (or inability to access or use) the Service;
• Any conduct or content of any third party on the Service;
• Any content obtained from the Service;
• Unauthorized access, use, or alteration of your transmissions or content.

IN NO EVENT SHALL ALIGNWITHME'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ALIGNWITHME IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless AlignWithMe and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property, privacy, or publicity rights; (d) your User Content; or (e) any claim that your User Content caused damage to a third party.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal dispute resolution proceedings, you agree to first contact us at legal@alignwithme.com to attempt to resolve the dispute informally. We will attempt to resolve disputes within 30 days.

14.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in the State of Delaware, and judgment on the award may be entered in any court of competent jurisdiction.

14.3 Class Action Waiver

YOU AND ALIGNWITHME AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than in arbitration, both parties waive any right to a jury trial.

14.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights pending arbitration.

15. Changes to Terms

We may modify these Terms at any time in our sole discretion. When we make material changes, we will:

• Update the "Effective Date" at the top of these Terms;
• Provide notice to you via email or through the Service at least 30 days before the changes take effect;
• Provide a summary of the material changes.

Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

16. General Provisions

16.1 Governing Law

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

16.2 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and AlignWithMe regarding the Service and supersede all prior agreements and understandings.

16.3 Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions will remain in full force and effect.

16.4 Waiver

The failure of AlignWithMe to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

16.5 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. AlignWithMe may assign these Terms without restriction.

16.6 Force Majeure

AlignWithMe shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
